Memora – Terms of Service

Welcome to Memora. These Terms of Service (“Terms”) govern your access to and use of the Memora mobile application and its services. Please read the following terms carefully before proceeding.
By accessing, downloading, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the App. For supporting details and section-by-section terms, continue reading below.
1. Acceptance of Terms
Agreement: By downloading, accessing, or using Memora (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.
Updates: Memora may modify these Terms at any time. Updated versions will be posted in the App and continued use constitutes acceptance of the changes.
Eligibility: You must be at least 13 years old to use this App. By using the App, you represent and warrant that you meet this age requirement.
2. Description of Service
AI Assistant: Memora provides an AI-powered personal assistant for conversations, reminders, information lookup, and device control features.
Device Integration: The App integrates with device features, including contacts, calendar, camera, location, and messaging to enhance functionality.
Subscription Service: Some features require a paid subscription, managed via Apple App Store or Google Play Store.
3. User Responsibilities
Account Security: You are responsible for maintaining your device’s security. Do not share sensitive information in conversations.
Acceptable Use: You agree not to use the App for illegal, harmful, or malicious purposes, including harassment, fraud, or sharing misinformation.
Content: You retain ownership of content you create, but grant us a license to process it via AI services. Content must comply with all applicable laws.
4. Privacy and Data Protection
Privacy Policy: Your use of the App is governed by our Privacy Policy, which describes how we collect, use, and protect your information.
Local Storage: Most data is stored locally on your device. Use the Format Memory Core feature to delete all app data.
Third-Party Services: The App uses OpenAI and RevenueCat; Memora does not store AI input data. Your use of these services is subject to their separate terms.
5. Intellectual Property
App Ownership: The App and all intellectual property rights belong to Memora. You have a limited, non-exclusive license for personal use only.
AI Content: AI-generated content is informational and should not replace medical, legal, or financial advice. No guarantees on accuracy.
Trademarks: All trademarks, service marks, and trade names are proprietary to Memora or their respective owners.
6. Subscription and Payment Terms
Subscription Plans: Premium features require a paid subscription, with weekly and annual plans available.
Billing: Subscriptions are billed through Apple App Store or Google Play Store. Memora does not handle payments directly.
Auto-Renewal and Store Policies: Subscriptions auto-renew unless canceled in device settings. Refunds are managed by Apple or Google.
7. Disclaimer of Warranties
As-Is Basis: The App is provided “as is” and “as available,” without any warranties, express or implied.
AI Limitations: AI responses may not always be accurate or appropriate. Important information should be independently verified.
Device & Service: Compatibility and uninterrupted service are not guaranteed; maintenance or changes may affect availability.
8. Limitation of Liability
Damages: Memora is not liable for any indirect, incidental, special, consequential, or punitive damages, to the extent permitted by law.
Total Liability: Our liability for any claim will not exceed the amount paid for the App in the prior 12 months.
User Content: You are solely responsible for any content you create, share, or generate using the App.
9. Termination
By User: You may stop using the App and delete it from your device at any time.
By Us: We may terminate or suspend your access if you violate these Terms or engage in harmful behavior.
Effect: Upon termination, your right to use the App ceases. App data may remain until deleted from your device.
10. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by the United States and the state where Memora is incorporated, without regard to conflict of law principles.
Dispute Resolution: Disputes shall first be negotiated in good faith; unresolved matters will be submitted to binding arbitration.
Class Action Waiver: Any proceedings must be conducted on an individual basis and not as a class or representative action.
11. Changes to Service
Feature Changes: Memora may modify, suspend, or discontinue features at any time without notice. Third-party changes (OpenAI) may impact app functionality; significant updates will be communicated where possible.
We will attempt to notify users of significant changes through the App or other communication methods when possible.
